These Terms of Use ("Terms") govern your access to and use of fayettestudio.com (the "Site"), operated by Fayette Studio ("Fayette Studio," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Site.

EAD SECTION 8 (DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER) CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site. By using the Site, you represent that you meet this requirement.

2. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that violates applicable law; attempt to gain unauthorized access to the Site or its systems; interfere with or disrupt the Site; use automated means to scrape or harvest data from the Site without our written permission; or introduce any malware or harmful code. We may suspend or terminate your access to the Site at any time, with or without notice.

3. Intellectual Property

The Site and its contents — including text, graphics, logos, images, rug designs, and software — are owned by or licensed to Fayette Studio and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Site without our prior written consent, except as permitted by applicable law.

4. Submissions

If you submit any content to us through the Site (such as inquiries, project details, or images), you grant us a non-exclusive, royalty-free license to use that content for the purpose of operating the Site and responding to you. You represent that you have the right to submit such content and that it does not violate the rights of any third party.

5. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE OR COMPLETE.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FAYETTE STUDIO AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.

7. Indemnification

You agree to indemnify and hold harmless Fayette Studio and its owners, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.

8. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

8.1 Agreement to Arbitrate. You and Fayette Studio agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Site, or your use of the Site — including the use of cookies, pixels, analytics, or other tracking technologies, and including any claim under the California Invasion of Privacy Act or any similar federal or state law — shall be resolved exclusively through final and binding individual arbitration, rather than in court, except as provided in Section 8.5.

8.2 Delegation. The arbitrator, and not any court, shall have exclusive authority to resolve all threshold and gateway issues, including any dispute relating to the existence, scope, applicability, enforceability, or validity of this arbitration agreement, including whether any claim is subject to arbitration.

8.3 Arbitration Rules and Forum. The arbitration will be administered by the American Arbitration Association (AAA) under its then-current consumer arbitration rules. The arbitration will be conducted in Fairfield County, Connecticut, or, at your election, by telephone, video, or written submission. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

8.4 Class Action and Jury Trial Waiver. YOU AND FAYETTE STUDIO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. YOU AND FAYETTE STUDIO ALSO WAIVE ANY RIGHT TO A JURY TRIAL. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall be severed and may proceed in court, while all other claims remain in arbitration.

8.5 Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Nothing in this Section prevents either party from seeking injunctive or equitable relief to protect intellectual property rights.

8.6 30-Day Right to Opt Out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to info@fayettestudio.com stating your name and your intent to opt out of arbitration. If you opt out, neither you nor Fayette Studio will be bound by the arbitration and class-waiver provisions in this Section, but all other Terms continue to apply.

8.7 Survival. This Section 8 survives termination of these Terms and your use of the Site.

9. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 8.

10. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date reflects the most recent changes. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

11. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
